Terms of Service

1. The service

CODAudit compares an order list you supply against a courier remittance report you supply and produces an analytical report identifying apparent short-payments, unpaid or overdue remittances, duplicate AWBs and reconciled orders.

Tiers: a free preview (AED 0, one per merchant account), paid monthly subscriptions at AED 299 (Solo) and AED 999 (Agency), and Enterprise from AED 2,500 per month, each with the feature limits published on our pricing section at the time of purchase.

The free preview shows the total amount at risk, flag counts by category, per-carrier comparison and match coverage. Order-level detail, evidence packs, dispute letters, exports and claim tracking are available on paid plans only.

One free preview is available per merchant account. Attempts to circumvent this limit by creating multiple accounts, or by submitting the same merchant account under different registration details, may result in suspension of the accounts concerned. To enforce this we retain irreversible hashes of merchant identifiers taken from the files and details you submit, including courier account or merchant numbers, store domain, AWB number ranges and normalised company name.

2. Your responsibilities

• You warrant that you have the right and a lawful basis to upload each file and to have us process its contents, including any end-customer personal data it contains.
• You are responsible for the accuracy and completeness of the files you supply. Our output can only be as accurate as your inputs.
• You will not upload malware, or data you are contractually or legally barred from sharing.
• You are responsible for the security of your account credentials.

3. Nature of our output — important disclaimer

Reports are analytical outputs derived from the files you supply. They are not accounting, audit, legal or tax advice.

• We do not guarantee the recovery of any amount, in whole or in part, and no figure in a report is a promise of payment.
• We do not act as your agent, broker or legal representative in any dispute, claim or negotiation with a carrier, marketplace, payment provider or any third party.
• We are not liable for carrier decisions, carrier interpretations of their own contracts, or any outcome of a claim you choose to raise.
• We give no warranty that a discrepancy identified is recoverable, that it is in fact a discrepancy under your carrier contract, or that all discrepancies present in your data will be identified.

CODAudit is software that analyses files you provide. We do not handle, hold, collect or transmit funds, and we do not act as your agent in any dispute with a carrier. We are not a financial institution, payment service, debt collection agency or money transmitter, and we provide no financial, credit or collection services. Any claim you raise with a carrier is raised by you, in your own name, using documents you review and send.

You remain solely responsible for verifying findings against your carrier agreements before acting on them.

4. Billing, renewal and cancellation

• Paid plans are subscriptions billed monthly in advance in AED (UAE Dirham). Your card is charged on the day you subscribe and then automatically on the same calendar day of each following month.
• Subscriptions auto-renew each month until cancelled. Each charge covers the month ahead and a receipt is emailed for every charge.
• You can cancel at any time yourself from Settings → Plan & billing in your account, with no notice period and no phone call required, or by writing to hello@codaudit.com. Cancellation takes effect at the end of the billing period already paid for; you keep access until then and are not charged again.
• If a payment fails we retry the card on days 3, 5 and 7 after the renewal date and email you each time. If it has not succeeded after 7 days the subscription is suspended (existing reports remain exportable, new audits are blocked). Unpaid subscriptions are cancelled after 30 days.
• Upgrades take effect immediately and are prorated for the remainder of the period; downgrades take effect at the next renewal.
• Fees may change with at least 30 days’ notice by email, effective at your next renewal. Taxes, including VAT where applicable, are added to the stated price.

Full detail is in our Billing Terms; refunds are governed by our Refund Policy. Payments are processed securely by Stripe; CODAudit never sees or stores your card details.

5. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the service is limited to the fees you actually paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost revenue, unrecovered COD amounts, or loss of data or goodwill. The service is otherwise provided “as is” and “as available”.

6. Suspension and termination

Either party may terminate for convenience with effect from the end of the current billing period. We may suspend or terminate immediately for non-payment, unlawful use, or breach of these terms. On termination we stop processing, make your existing reports available for export for 30 days, and then delete your uploaded files and reports in line with our Privacy Policy and the Data Processing Agreement.

7. Intellectual property and confidentiality

You retain all rights in the data you upload and in the report content derived from it. We retain all rights in the CODAudit software, methodology and interfaces. Each party will keep the other’s non-public information confidential.

8. Governing law

These terms are governed by the laws of Hong Kong SAR, and the courts of Hong Kong SAR have exclusive jurisdiction over any dispute.

9. Contracting entity and contact

CODAudit is operated by Onecheckout Limited, a company registered in Hong Kong (Registration No. 77305897), with its registered office at No. 5, 17/F, Strand, Bonham Strand, Sheung Wan, Hong Kong. CODAudit is a trading name of Onecheckout Limited and not a separate legal entity.
